BC <br />21.7 . Neither Seller nor Buyer is represented in this <br />ROKER OMMISSIONS <br />transaction by a realtor. Each of the parties represents and warrants to the other that no <br />other commission or fee is due in connection with the transactions contemplated by this <br />Agreement. Each party agrees to indemnify, defend and hold harmless the other party <br />against any loss, liability, damage, cost, claim or expense, including interest, penalties <br />and reasonable attorneys’ fees that the other party shall incur or suffer by reason or a <br />breach of the representation and warranty in this Section 20.7. <br /> <br />AA. <br /> 21.8 Where approvals of Agency are required, Agency will <br />GENCY PPROVALS <br />approve or disapprove within ten (10) days after receipt of the material to be approved, <br />except where a longer or shorter time period is specifically provided to the contrary. <br />Approvals will not be unreasonably withheld, except where rights of approval are <br />expressly reserved to Agency’s sole discretion in this Agreement. Unless specified to the <br />contrary, whenever consent or approval by Agency is required, all such consents or <br />approvals shall be given in writing from the Director of Agency. <br /> <br />S. <br /> 21.9 All provisions, covenants and warranties hereunder shall survive <br />URVIVAL <br />execution, delivery and termination of this Agreement and the Deed to the extent <br />necessary to carry out their reasonably intended effects.
