Should the book-entry only security system be discontinued, the Notes shall be issued in the form of registered Notes without coupons in the denominations of $5,000 or any integral multiple thereof. Such Notes may be exchanged for Notes of the same aggregate principal amount, interest rate and maturity date, but different authorized denominations, as provided in the Resolution. The Notes are not subject to redemption prior to maturity. Any transfer of this Note must be registered, as provided in the Resolution, upon the note register kept for that purpose by the Paying Agent. This Note may be registered only by surrendering it, together with a written instrument of transfer which is satisfactory to the Paying Agent and which is executed by the Registered Owner or duly authorized attorney. Upon registration, a new registered Note or Notes, of the same series and maturity and in the same aggregate principal amount, shall be issued to the transferee as provided in the Resolution. The City and the Paying Agent may treat the person in whose name this Note is registered on the note register as its absolute owner for all purposes, as provided in the Resolution. Unless this Note is presented by an authorized representative of The Depository Trust Company to the City or the Paying Agent for registration of transfer, exchange or payment, and any Note issued is registered in the name of Cede & Co. or such other name as requested by an authorized representative of The Depository Trust Company and any payment is made to Cede & Co., ANY TRANSFER, PLEDGE OR OTHER USE HEREOF FOR VALUE OR OTHERWISE BY OR TO ANY PERSON IS WRONGFUL since the registered owner hereof, Cede & Co., has an interest herein. It is hereby certified that all acts, conditions and things required to be done precedent to and in the issuance of this Note have been properly done, and that this Note is a legally binding special obligation of the City.
