<br />Section 13. Authentication, Registration and Transfer. (No Depository). <br /> <br />Registration and transfer of the 1996 Series N Bonds while they are in book-entry <br />form shall be in accordance with the City's Blanket Letter of Representations to The Depository <br />Trust Company. The provisions of this Section 13 apply only if the 1996 Series N Bonds cease to <br />be book-entry-only. <br /> <br />13. 1. No 1996 Series N Bond shall be entitled to any right or benefit under this <br />Resolution unless it shall have been authenticated by an authorized Officer of the City's paying <br />agent and registrar (the "Paying Agent"). The Paying Agent shall authenticate all 1996 Series N <br />Bonds to be delivered at the closing of the Series N Bonds, and shall additionally authenticate all <br />1996 Series N Bonds properly surrendered for exchange or transfer pursuant to this Resolution. <br /> <br />13.2. All 1996 Series N Bonds shall be in registered form. The City Official will <br />appoint a bank doing business in Oregon to serve as Paying Agent for the 1996 Series N Bonds. <br />The Paying Agent shall provide notice to the 1996 Series N Bondowners of any change in the <br />Paying Agent not later than the 1996 Series N Bond payment date following the change in Paying <br />Agent. <br /> <br />13.3. The ownership of all 1996 Series N Bonds shall be entered in the 1996 <br />Series N Bond register maintained by the Paying Agent, and the City and the Paying Agent may <br />treat the person listed as owner in the 1996 Series N Bond register as the owner of the 1996 <br />Series N Bond for all purposes. <br /> <br />13.4. The Paying Agent shall mail each interest payment on the interest payment <br />date (or the next business day if the interest payment date is not a business day) to the name and <br />address of the 1996 Series N Bondowner as they appear on the 1996 Series N Bond register as of <br />the fifteenth day of the month preceding an interest payment date (the "Record Date"). If <br />payment is so mailed, neither the City nor the Paying Agent shall have any further liability to any <br />party for such payment. <br /> <br />13.5. 1996 Series N Bonds may be exchanged for an equal principal amount of <br />1996 Series N Bonds of the same maturity which are in different denominations, and 1996 Series <br />N Bonds may be transferred to other owners if the 1996 Series N Bondowner submits the <br />following to the Paying Agent: <br /> <br />13.5. 1. written instructions for exchange or transfer satisfactory to the <br />Paying Agent, signed by the 1996 Series N Bondowner or the bondowner's attorney in <br />fact and guaranteed or witnessed in a manner satisfactory to the Paying Agent; and <br /> <br />13.5.2. the 1996 Series N Bonds to be exchanged or transferred. <br /> <br />13.6. The Paying Agent shall not be required to exchange or transfer any 1996 <br />Series N Bonds submitted to it during any period beginning with a Record Date and ending on the <br />next following payment date; however, such 1996 Series N Bonds shall be exchanged or <br />transferred promptly following that payment date. <br /> <br />Page 8 - Resolution <br /> <br />J :\HWR \CITIES\EUGENE\SAB96\SAB96RES.DOC <br />
