Every contract shall contain a provision that states the contract shall be <br />governed, construed, and enforced in accordance with the laws of the state of Oregon, unless <br />otherwise approved by the City Attorney or designee. <br />b) Jurisdiction. Every contract shall contain a provision that states the contractor agrees and <br />consents to the exclusive jurisdiction of the courts of the state of Oregon for all purposes <br />regarding the contract and further agrees and consents that venue of any action brought under <br />the contract shall be exclusively in Lane County, Oregon, unless otherwise approved by the City <br />Attorney or designee. <br />9) Compliance with Tax Laws. Contractor certifies its compliance with all applicable state and local tax <br />laws, including but not limited to ORS 305.385, ORS 305.620, ORS chapters 316, 317 and 318 and <br />Chapter 539 Oregon Laws 2015 (SB 675). Contractor certifies it will continue to comply with all such <br />tax laws during the term of this contract. Contractor’s failure to comply with such state and local tax <br />laws prior to executing this contract or during the term of this contract constitutes a default for which <br />City may terminate this contract and seek damages and other relief available under the terms of this <br />contract or applicable law. <br /> <br /> <br />Section 3. Rule 137-047-0280 Emergency Procurements <br /> <br />A Contracting Agency may Award a Public Contract as an Emergency Procurement pursuant to the <br />requirements of ORS 279B.080 and EC 2.1430(5). When an Emergency Procurement is authorized, the <br />Procurement shall be made with competition that is reasonable and appropriate under the <br />circumstances. However, for emergency Procurement of construction services, see 279B.080(2). <br /> <br /> <br />Section 4. Section 3(c) of Rule 137-047-0300 Public Notice of Solicitation Documents <br /> <br />The interval between the first date of notice of the Solicitation Document given in accordance with <br />subsection 2(a) or (b) above and Closing, which shall not be less than seven (7) Days for an Invitation to <br />Bid and fourteen (14) Days for a Request for Proposals, unless the Contracting Agency determines that <br />a shorter interval is in the public's interest, and that a shorter interval will not substantially affect <br />competition. However, in no event shall the interval between the first date of notice of the Solicitation <br />Document given in accordance with subsection 2(a) or (b) above and Closing be less than seven (7) <br />Days as set forth in ORS 279B.055(4)(f). The Contracting Agency shall document the specific reasons <br />for the shorter public notice period in the Procurement file. <br /> <br /> <br />Section 5.
