Section 18. Form of 1987 Refunding Certificates. The 1987 Refunding Certificates shall be issued substantially in the form set forth in the First Supplemental Refunding Trust Indenture. Section 19. Printing of 1987 Refunding Certificates. The City Manager is authorized to contract for the printing of the 1987 Refunding Certificates. The City Manager may provide for the printing of, in addition to the original issue of 1987 Refunding Certificates, additional certificates to be printed in blank form as to registration for the Certificate Registrar to deliver to the registered owner upon transfer or exchange of 1987 Refunding Certificates. The additional certificates shall be dated as of May 1, 1987, except in the case of 1987 Refunding Certificates maturing on and after June 1, 2004, which shall be dated as of the date of delivery to the initial purchaser, and shall be signed by the facsimile signature of an authorized representative of the Trustee, and the Certificates Registrar shall manually sign the Certificate of Authentication as of the date of the transfer of the 1987 Refunding Certificates. Section 2D , Arbitrage. The proceeds of the Advance Refunding Certificates shall be used and invested in such manner that the 1987 Refunding Certificates shall not become "arbitrage bonds" within the meaning of Section 148 of the Internal Revenue Code of 1986, as amended, and the regulations issued thereunder. Section 21. Bond Counsel. Messrs. Rankin, vavRosky, Doherty, ~- MacColl & Mersereau of Portland, Oregon are hereby appointed Bond Counsel for the issuance of the 1987 Refunding Certificates . Section 22. Preliminary official Statement. The City shall assist in the P reparation cf a Preliminary Official Statement for _ the 1987 Refunding Certificates which shall be available for - distribution to prospective purchasers of the 1987 Refunding Certificates. when advised by staff that the final Official Statement does not contain any untrue statement af~a material fact ar omit to state any material fact necessary to make the statements contained i n the p+l i c? zl s tztemant not misleading in the light of the circumstances under which they are made, then the City Manager is authorized to certify the accuracy of the official Statement on behal f of the City. Section 23. Execution of Closing Documents. The City Manager is authorized to execute the No-Arbitrage Certificate and an and all additiona ~ y' 1 documents which r~~ay be reasonably required to issue , sell and deliver the 1987 Refunding Certificates. Section 24.
