10.4.3. By the members; or <br />10.4.4. By the court in which the action, suit or proceeding is or was pending <br />upon application by the Community Organization or the agent, attor- <br />ney or other person rendering services in connection with the <br />defense, whether or not the Community Organization opposes the <br />application by the attorney, agent or other person. <br />10.5. Expenses incurred in defending a civil or criminal action, suit or proceeding <br />may be paid by this community Organization in advance of the final disposition <br />of the action, suit or proceeding as authorized in the manner provided in Sec- <br />tion 10.4 of this Article X upon receipt of an undertaking by or on behalf of the <br />director, officer, employee or agent to repay such amount unless it shall ulti- <br />mately be determined that the community Organization may make indemnifica- <br />tion as authorized in this Article X. <br />10.5. The indemnification provided by this Article X shall not be deemed exclusive of <br />any other rights to which an indemnified person may be entitled under any <br />bylaw, agreement, vote of members or disinterested directors, or otherwise, <br />both as to action in his or her official capacity and as to action in another capac- <br />ity while holding such office, and shall continue as to a person who has ceased <br />to be a director, officer, employee or agent and shall inure to the benefit of the <br />heirs, executors and administrators of such person. <br />ARTICLE XI - WAIVER OF NOTICE <br />Whenever any notice is required to be given to any member or director of the <br />Community Organization under the provisions of these Bylaws or under the provisions <br />of the Articles of Incorporation and charter or under the provisions of the Oregon Non- <br />profit corporation Act, a waiver thereof in writing, signed by the person or persons <br />entitled to notice, whether before or after the time stated therein, shall be deemed <br />equivalent to the giving of the notice. <br />ARTICLE XIl - AMENDMENTS <br />These Bylaws may be altered, ,amended or repealed or new bylaws may be adopted <br />by a majority of the members present at a meeting at which a quorum is present. <br />The foregoing Bylaws, comprising of ten (10) pages, constitute the original Bylaws of <br />the West Eugene community Organization as duly adopted by the board of. directors <br />on , 1901. <br />IN WITNESS WHEREOF, the undersigned has hereto subscribed his name on this <br />day of , 1991. <br />10 <br />
