HomeMy WebLinkAboutResolution No. 4279RESOLUTION NO �ai I A RESOLUTION APPROVING AND ACCEPTING THE INDUSTRIAL CORRIDOR COMMUNITY ORGANIZATION CHARTER FOR LIMITER RECOGNITION. The City Council of the City of Eugene finds that: A. On January 22, 1990 the Council, by Resolution no. 4161, adopted a Limited Neighborhood Recognition Policy for Organizations in Areas Contiguous to the 'ts of the City of Eugene. B. The Industrial Corridor Community organization represents an area that is contiguous to, but outside the limits of the City of Eugene, and is therefore eligible to apply for meted recognition under the City' adopted policy. C. The Industrial Corridor Community Organization has submitted a proposed P P Charter which was approved by the membership at a general meeting on October 31 1991, and has complied with the criteria set forth in the City's Neighborhood Organization Recognition Policy as contained in Resolution No. 2554 adopted by the City Council on August 23, 1976 and the City' Limited Neighborhood Recognition Policy as contained in Resolution No. 4161 adopted on January 22, 1990. D. The Model Charter approved by Council Resolution No. 3745 on January 26, 1983 was utilized by the Industrial Corridor Community Organization in developing its proposed Charter. The Charter for the Industrial Corridor Community Organization, a copy PY of which is attached as Exhibit "X hereto, so marked, and incorporated herein b � y i reference, s hereby approved and accepted, and limited recognition in accordance with the policy set forth in Resolution No. 4161 of the Industrial Corridor Community Organization .. ty g as the official voice of the neighborhood area designated therein is hereb y confirmed. Section 2. The recognition confirmed herein shall remain in effect until January 22, 1995, unless prior thereto the City's Limited Neighborhood Recognition Policy is extended, or the area designated in the Industrial Corridor Community Organization's Charter Resolution - 1 becomes annexed to the Cit of Eugene and the Industrial Corridor Communi Organization applies for full recognition in conformity with the Neighborhood Recognition Policy for organizations within the city limits of Eugene. Section 3. The City Recorder is requested to forward a copy of this Resolution to the Industrial Corridor Community organization. The foregoing Resolution adopted the ��' day of November, 1991. Resolution - 2 F LL E-D IN THE OFFICE Of THE SECRETARY OF STATE OF THE STATE OF OREGON. v 3 ;gyp /j 1988 ARTICLES OF INCORPORATION AND CHARTE CORPORATION )[VISION OF INDUSTRIAL CORRIDOR COMMUNITY ORGANIZATION The undersigned individual of the age of 18 years or more, acting as incorporator under the Oregon Nonprofit Corporation Law, hereby adopts the following Articles of Incorporation and Charter. ARTICLE I The name of this corporation is Industrial corridor Community organization thereinafter referred to as "Community - Organization"), and its duration shall be per- petual. ARTICLE 11 The Community Organization does not contemplate pecuniary gain or profit direct or indirect to its members. The purposes for which the Community Organization is or a- nized are: Y g g (1 To promote, preserve, and maintain the health, safety, welfare, and prop- erty of the property owners, lessees, and residents of that certain area generally known as the Industrial corridor more specifically described on Exhibit 1, attached hereto, in the county of Lane, State of Oregon. (2) Consistent with Section 1, the specific purposes for which this corpora- tion. is organized are to promote the virtues of the Industrial Corridor, to promote a clean, safe, and scenic environment in the Industrial corridor, to promote healthy economic growth and development of the Industrial Corridor, to work for the establishment of new, and mai ntenance , of existing, local services, pro- grams, and community facilities which enhance the welfare of the Industrial Corridor, to communicate, advise, and consult with county and city governments on all matters affecting the Industrial Corridor community, including zoning, metro area planning, development, housing, traffic and transportation systems, utility delivery systems, water and sewer systems, and any other matters affect- ing the economic vitality and livability of the Industrial corridor community, to encourage neighborhood involvement in local governmental functions and decision - making, and to engage in any lawful activity for which the community Organization may be organized under Oregon law consistent with the . fore- going. }�i : r�...�r e! e� r F i � •� r �' i a r ARTICLES OF INCORPORATION AND CHARTER - 1 � / ARTICLE III The Community Organization shall have one class of membership which shall consist of any property owner, lessee, or resident over the age of 18 years in the Industrial Corridor who applies for membership in writing to the board of directors and who has been unanimously approved as a member by resolution of the board of directors. Membership in the Community Organization shall terminate upon such member's ceasing to be a property owner, lessee, or resident in the Industrial Corridor or upon voluntary withdrawal in writing by a member. Each member shall be entitled to one vote on matters submitted to a vote of the mem- bership. For purposes of these Articles of Incorporation and Charter, "lessee" is defined as a person or entity in possession of real property under a leasehold estate, and "resident" is defined as any individual who resides or makes his place of abode within the boundaries of the Industrial Corridor. ARTICLE IV The number of directors constituting the initial board of directors is five (5), and the names and addresses of the persons who are to serve as directors until the first annual meeting of members, or until their successors are elected and qualified are: R. Qff i The officers of the Community organization shall be a president, vice president, and secretary- treasurer. Any two or more offices may be held by the same person. 5.2. Qualifigatign nd M h f El i n. Each officer shall be an individual, but need not be a member if acting as a qualified representative of a member. Each officer shall be elected annually by the membership at the annual meeting of the ARTICLES OF INCORPORATION AND CHARTER - 2 membership. Each officer shall hold office until his or her successor shall have been duly elected, or until his or her death, resignation, or removal. An officer may serve concurrent terms. The officers shall be members of the board of directors. 5.3. President The president shall preside at all meetings of the Community Orga- nization and of the board of directors at which he or she is present and shall exercise general supervision of the affairs and activities of the Community Organization. The president may sign all membership applications on behalf of the Community Organi- zation, where the applicant thereof has been unanimously approved as a member by resolution of the board of directors. The president shall perform all duties incident to the office of president and such other duties as may be prescribed by the board of directors. 5.4. ViQe__Pre5den1 In the absence of the president or- in the event of the president's death or'inability to act, the vice president shall perform the duties of the president, and when so acting, shall have' all the powers of and be subject to all the restrictions upon the president. The vice president shall perform all duties incident to the office of the vice president and such other duties as from time to time may be assigned to him' or her by the president or board of directors. 5.5. Secre=-Treasurer. The secretary - treasurer shall keep the minutes of all the meetings of the Community organization and of the board of directors, which shall be an accurate and official record of all business transacted, and shall be custodian of all Community Organization records. The secretary- treasurer shall also have charge of, and be responsible for, all funds of the Community organization. The secretary- treasurer shall also perform all duties incident to the office of secretary- treasurer and such other duties as from time to time may be assigned to him or her by the president or board of directors, 5.6: Vgcanci es . A vacancy in any office because of death, resignation, removal, disqualification, or otherwise, may be filled by the board of directors for the unexpired portion of the term. 5.7. R i n i n i2nd R m v l . An officer may resign at any time by delivering writ- ten notice to the Community organization. An officer may be removed by the membership of the Community organization by a two - thirds majority vote whenever in their judgment the best interests of the Community organization will be served thereby. ARTICLE vI Membership meetings shall be held at a time and place to be established by the By- laws of the Community organization. such meetings shall be held at least once a year and shall be open to the public. Notice of said meetings shall be given in writing in advance in accordance with the Bylaws of the Community organization. ARTICLES OF INCORPORATION AND CHARTER - 3 ARTICLE Vi I After incorporation, the number of directors constituting the board of directors shall be set by the Bylaws, and each person who shall serve as a director shall be elected by a majority vote of the members of the Community Organization. A director must be an individual, but need not be a property owner, lessee, or resident in the Industrial Corri- dor if acting as a qualified representative of a member. Each director shall hold office for a term of one (1) year, beginning on the date of their election, and until his succes- sor shall have been elected and qualified. ARTICLE Vill Upon dissolution or final liquidation of the community Prganization, after payment or provision for payment of all of the liabilities of the community organization, the remaining assets of the corporation shall be distributed in accordance with ORS 61.530, or corresponding provision of any future state law, as the board of directors may determine. In making distributions in accordance with ORS 61.530, the board of directors may distribute assets of the Community organization to members of the Community organization. ARTICLE IX The address of the initial registered office of the Community organization is 975 oak Street, Eighth Floor, Eugene, Oregon 97401, and the name of the initial registered agent at such address is Dale A. Riddle. ARTICLE X The mailing address where the Oregon corporation Division may mail notices is 975 Oak street, Eighth Floor, Eugene, Oregon 97401, attention Dale A.
