6. Escrow Agent Fees. <br />a. Escrow Agent shall charge an annual escrow fee in the amount of $ <br />during the term of this Agreement, with the first annual escrow fee paid upon <br />execution of this Agreement, and a subsequent escrow fee in the same amount <br />paid on each anniversary of the execution date until expiration or earlier <br />termination of this Agreement. Upon expiration or termination, the amount paid <br />for that year shall be prorated up to the expiration or termination date and the <br />unearned amount reimbursed to Developer. <br />b. Developer shall pay the escrow fee charged by Escrow Agent and any fees <br />reasonably charged by Escrow Agent in connection with the performance of its <br />duties hereunder. <br />C. The parties to this Agreement agree that Escrow Agent shall look solely to <br />Developer for fees due and owing under this Agreement, and acknowledge that <br />Developer and Escrow Agent shall not have a claim against City for monies due <br />or interest thereon under the terms of this Agreement. Notwithstanding the <br />foregoing, all parties acknowledge that City has all the legal rights and remedies <br />afforded Developer under this Agreement. <br />7. Notices.
