8. Binding Obligations. This Agreement will be binding upon, insure to the benefit of, and <br />be enforceable by the respective heirs, beneficiaries, representatives, successors and <br />assigns of the parties hereto. <br />9. Governing Law. This Agreement shall be governed by, and construed and enforced in <br />accordance with, the laws of the State of Oregon. <br />10. Counterparts. This Agreement may be executed in one or more counterparts, each of <br />which shall be deemed an original. <br />11. Effective Date.
