1988 Bonds are Outstanding, the City shall contest any
<br />condemnation award for any taking which materially interferes
<br />with the operation of the Airport, unless the award is sufficient
<br />to pay the principal of all Outstanding Bonds, plus interest
<br />through their maturity or date of redemption.
<br />5.2.12. Payment of Taxes and Claims by the City. The City
<br />shall pay, yr cause to be paid, any taxes, assessments or other
<br />governmental charges lawfully imposed upon the Airport or upon
<br />the Revenues, or any required payments in lieu thereof, as well
<br />as all lawful claims for labor, materials and supplies furnished
<br />or supplied to the Airport, when the same shall become due and
<br />payable, and keep the Airport and all parts thereof and the
<br />Revenues free from judgments, mechanics' and materialmen's liens,
<br />and free from all other liens, claims, demands or encumbrances of
<br />whatsoever prior nature or character. However, the City may, in
<br />good faith, and upon notice thereof to the Trustee, contest, or
<br />permit or cause to be contested, the applicability or validity of
<br />any such tax, assessment or governmental charge or payment in
<br />lieu thereof, as well as any claim for labor, material or
<br />supplies for work completed or materials or supplies furnished
<br />and in such event may permit the items sa contested to remain
<br />unpaid, during the period of any such contest and appeal
<br />therefrom, even though such contest or proceeding may result in a
<br />judgment or lien against the Airport or any part thereof ar the
<br />Revenues, if and so long as such contest or proceeding shall stay
<br />the execution or enforcement of any such tax, assessment, charge,
<br />claim, judgment or lien so that pending the determination of such
<br />contest or proceeding the Airport and all parts thereof and the
<br />Revenues are not affected thereby, and if and so long as such
<br />contest or proceeding does not, in the opinion of independent
<br />counsel, impair the security or the payment of the Bonds. If any
<br />such execution or enforcement is so stayed and such stay shall
<br />thereafter expire, the City shall forthwith pay or discharge, or
<br />cause to be paid and discharged, any such tax, assessment or
<br />governmental charge or payment in lieu thereof or claims for
<br />lobar, material or supplies. Before, however, entering into any
<br />such contest or permitting any such contest, the City shall
<br />furnish to the Trustee any reasonable assurance required by the
<br />Trustee indemnifying it and the Owner of the Bonds against loss
<br />or liability by reason of any such contest.
<br />5.2.13, Prosecution and Defense of Suits.
<br />5.2.13.1. The City will, and upon the request of the
<br />Trustee for BIG so long as the Series 1988 Bonds are outstanding}
<br />shall, promptly from time to time take such action as may be
<br />necessary and proper to remedy or cure any defect in or cloud
<br />upon the title to the Airport or any part thereof except for
<br />Permitted Encumbrances, whether now existing or hereafter
<br />developing; shall prosecute and defend all such suits, actions
<br />and other proceedings as may be appropriate for such purposes,
