including the defense of its title to the Airport; and shall, to
<br />the extent permitted by law, indemnify and save the Trustee, BIG
<br />and every Bondowner harmless from all loss, cost, damage and
<br />expense, including attorneys' fees, which they or either of them
<br />may incur by reason of any such defect, cloud, suit, action or
<br />proceeding.
<br />5.2.13.2. The City shall defend, or cause to be
<br />defended, against every suit, action or proceeding at any time
<br />brought against the Trustee, BIG or any Bondowner by a person
<br />other than the City upon any claim arising out of the receipt,
<br />application or disbursement or any of the Revenues or any other
<br />moneys received, applied or disbursed under this ordinance, or
<br />involving the Airport or the rights of the Trustee, BIG or any
<br />Bondowner under this ordinance and shall, to the extent permitted
<br />by law, indemnify and save harmless the Trustee, BIG and all
<br />Bondowners against any and all liability claimed or asserted by
<br />any person whomsoever, arising out of such receipt, application
<br />or disbursement or the Airport. However, the Trustee, BIG or any
<br />Bondowners may elect to appear in and defend any suit, action or
<br />proceeding. Notwithstanding any contrary provision hereof, this
<br />covenant shall remain in full force and effect, even though the
<br />Bond is no longer Outstanding hereunder and all indebtedness and
<br />obligations secured hereby may have been fully paid and satisfied
<br />and the lien, pledge and charge of this ordinance may have been
<br />released and discharged.
<br />5.2.14. Obeying,Law; Performance of All obligations
<br />and Covenants under this ordinance.
<br />5.2,14.1. The City shall comply promptly, fully and
<br />faithfully with and abide by any statute, law, ordinance, order,
<br />rule or regulation, judgment, decree, direction or requirement
<br />now in force or hereafter enacted, adopted or entered by any
<br />competent governmental authority or agency affecting the
<br />Airport. However, the City need not comply with any such
<br />statute, law, ordinance, rule, regulation, judgment, decree,
<br />direction or requirement if and so long as the City in good faith
<br />shall be contesting or permitting or causing to be contested the
<br />applicability or validity thereof by appropriate proceedings
<br />diligently prosecuted, even though such contest may result in the
<br />imposition of a lien or charge against the Airport or the
<br />Revenues if the foreclosure or enforcement of any such lien or
<br />charge shall be stayed during the contest, and if said stay
<br />thereafter expires, the City shall forthwith discharge such lien
<br />or charge or cause the same to be discharged, so that during the
<br />contest, in the opinion of independent counsel, the Airport and
<br />the Revenues thereof shall not be affected thereby, and the
<br />security of the Bonds shall not be impaired.
<br />5.2,14,2. The City shall comply with and perform, or
<br />cause to be complied with and performed, all acts, things,
