Section 4 The Board of Directors shall hold meetings at a place and time determined by the Board of Directors. A minimum of four meetings shall be held each year. Board of Directors meetings shall be announced at the prior meeting of the SUNA Membership and shall be open to the public. Notice of the meeting shall be included in the City's public meeting calendar. Section 5 Special meetings of the Board of Directors may be called by the Chairperson, or in the Chairperson's absence, by the Vice Chairperson in the event of situations calling for prompt action. Reasonable efforts shall be made to inform the SUNA Membership of special meetings consistent with the purpose of the meeting. Such meetings may be conducted by conference telephone call or e-mail. Section 6 Minutes of the Board of Directors meetings shall be kept on file and made available to the SUNA Membership at the next SUNA Membership Meeting. Minutes of Board of Directors meetings shall be published in the next neighborhood newsletter or on the SUNA website. Section 7 A quorum shall be a majority of existing Board of Directors. Board of Directors decisions shall be decided by a majority vote of the quorum. The Chairperson shall vote only to break a tie. Section 8 The Board of Directors shall establish the time and place for SUNA Membership Meetings and shall ensure that the meetings are publicized. Notice of meetings shall include the date, time, place and proposed agenda. The Board of Directors shall establish the agenda for meetings of the SUNA Membership. Items may be added to the agenda and voted on a.t any meeting of the SUNA Membership as specified in Article VII, Section 3. Section 9 The Board of Directors may, as the need arises, draft bylaws for SUNA subject to the provisions of Article XII. Section 10 The Board of Directors may, as the need arises, appoint committees to carry out the purposes of SUNA. 4
