membership. Each officer shall hold office until his or her successor shall have been duly elected, or until his or her death, resignation, or removal. An officer may serve concurrent terms. The officers shall be members of the board of directors. 5.3. President The president shall preside at all meetings of the Community Orga- nization and of the board of directors at which he or she is present and shall exercise general supervision of the affairs and activities of the Community Organization. The president may sign all membership applications on behalf of the Community Organi- zation, where the applicant thereof has been unanimously approved as a member by resolution of the board of directors. The president shall perform all duties incident to the office of president and such other duties as may be prescribed by the board of directors. 5.4. ViQe__Pre5den1 In the absence of the president or- in the event of the president's death or'inability to act, the vice president shall perform the duties of the president, and when so acting, shall have' all the powers of and be subject to all the restrictions upon the president. The vice president shall perform all duties incident to the office of the vice president and such other duties as from time to time may be assigned to him' or her by the president or board of directors. 5.5. Secre=-Treasurer. The secretary - treasurer shall keep the minutes of all the meetings of the Community organization and of the board of directors, which shall be an accurate and official record of all business transacted, and shall be custodian of all Community Organization records. The secretary- treasurer shall also have charge of, and be responsible for, all funds of the Community organization. The secretary- treasurer shall also perform all duties incident to the office of secretary- treasurer and such other duties as from time to time may be assigned to him or her by the president or board of directors, 5.6: Vgcanci es . A vacancy in any office because of death, resignation, removal, disqualification, or otherwise, may be filled by the board of directors for the unexpired portion of the term. 5.7. R i n i n i2nd R m v l . An officer may resign at any time by delivering writ- ten notice to the Community organization. An officer may be removed by the membership of the Community organization by a two - thirds majority vote whenever in their judgment the best interests of the Community organization will be served thereby. ARTICLE vI Membership meetings shall be held at a time and place to be established by the By- laws of the Community organization. such meetings shall be held at least once a year and shall be open to the public.
