membership. Each officer shall hold office until his or her successor shall have been <br />duly elected, or until his or her death, resignation, or removal. An officer may serve <br />concurrent terms. The officers shall be members of the board of directors. <br />5.3. President The president shall preside at all meetings of the Community Orga- <br />nization and of the board of directors at which he or she is present and shall exercise <br />general supervision of the affairs and activities of the Community Organization. The <br />president may sign all membership applications on behalf of the Community Organi- <br />zation, where the applicant thereof has been unanimously approved as a member by <br />resolution of the board of directors. The president shall perform all duties incident to <br />the office of president and such other duties as may be prescribed by the board of <br />directors. <br />5.4. ViQe__Pre5den1 In the absence of the president or- in the event of the president's <br />death or'inability to act, the vice president shall perform the duties of the president, and <br />when so acting, shall have' all the powers of and be subject to all the restrictions upon <br />the president. The vice president shall perform all duties incident to the office of the <br />vice president and such other duties as from time to time may be assigned to him' or <br />her by the president or board of directors. <br />5.5. Secre=-Treasurer. The secretary - treasurer shall keep the minutes of all the <br />meetings of the Community organization and of the board of directors, which shall be <br />an accurate and official record of all business transacted, and shall be custodian of all <br />Community Organization records. The secretary- treasurer shall also have charge of, <br />and be responsible for, all funds of the Community organization. The secretary- <br />treasurer shall also perform all duties incident to the office of secretary- treasurer and <br />such other duties as from time to time may be assigned to him or her by the president <br />or board of directors, <br />5.6: Vgcanci es . A vacancy in any office because of death, resignation, removal, <br />disqualification, or otherwise, may be filled by the board of directors for the unexpired <br />portion of the term. <br />5.7. R i n i n i2nd R m v l . An officer may resign at any time by delivering writ- <br />ten notice to the Community organization. An officer may be removed by the <br />membership of the Community organization by a two - thirds majority vote whenever in <br />their judgment the best interests of the Community organization will be served <br />thereby. <br />ARTICLE vI <br />Membership meetings shall be held at a time and place to be established by the By- <br />laws of the Community organization. such meetings shall be held at least once a <br />year and shall be open to the public.
