sent that member in all matters requiring the attention of the members. <br />4.6. Termination of Membership. Membership in the Community Organization shall <br />terminate upon member's ceasing to be a property owner lessee or resi- <br />dent in the West Eugene community or upon voluntary withdrawal in writing by <br />a member. <br />ARTICLE V - MEETINGS OF MEMBERS <br />5.1. Annual and Semi - Annual Meeting. An annual meeting of the members, for the <br />purpose of electing directors and transacting such other business -as may come <br />before the meeting, shall be held on the second Thursday of January each year, <br />beginning with the year 1992, at 7:00. p.m. unless a different hour and day is <br />stated in the notice of the meeting. If the day fixed for the annual meeting is a <br />legal holiday in the State of Oregon, the meeting shall be held on the next <br />succeeding business day. Members and all interested persons may attend the <br />annual meeting, but only members shall be permitted to vote on matters <br />submitted to a vote at a meeting of members. There shall also be held a semi- <br />annual meeting of the members for the purpose of transacting the <br />business of the community organization at a date, time, place to be <br />set by the board of directors in accordance with Section 5.5 below. All <br />residents in West Eugene shall be notified of the annual and semi- <br />annual meetings. I % <br />5.2. Failure to Hold Annual or Semi - annual Meeting. Failure to hold an annual or <br />semi - annual meeting shall not work a forfeiture or dissolution of the community <br />Organization. If the annual or semi- annual meeting is not held at the <br />designated time, the president or the board of directors may call the annual or <br />semi- annual meeting at a time fixed by them not more than sixty (60) days after <br />such designated time by proper notice designating the meeting as the annual <br />or semi - annual meeting. If the annual or semi - annual meeting is not held at <br />the designated time or during the 60 -day period thereafter, the annual or semi- <br />annual meeting may be called by members having one - twentieth of the votes <br />entitled to be cast at the meeting. In such event, notice shall be given not more <br />than fifteen (15) days after the expiration of such 60 -day period. <br />5.3. Special Meetings. A special meeting of the members may be called by the <br />president or a majority of the board of directors at. any time. A special meeting <br />of the members must be called by the president or the board of directors when- <br />ever two - thirds (213) or more of the members request a special meeting in writ- <br />ing, and in that event, such special meeting shall be held within thirty (30) days <br />of such request. Members and all interested persons may attend a special <br />meeting, but only members shall be permitted to vote on matters submitted to a <br />vote at a meeting of members. <br />3 <br />
