Organization. The president shall perform all duties incident to the office of <br />president and such other duties as may be prescribed by the board of directors. <br />7.4. Vice 'resident. In the absence of the president or in the event of the <br />president's death or inability to act, the vice president shall. perform the duties of <br />the president, and when so acting, shall have all the powers of and be subject <br />to all the restrictions upon the president. The vice president shall perform all <br />duties incident to the office of the vice president and such other duties as from <br />time to time may be assigned to him or her by the president or board of <br />di recto rs . <br />7.5. Secretary. The secretary shall keep the minutes of all the meetings of the <br />Community Organization and of the board of directors, which shall be an accu- <br />rate and official record of all business transacted, and shall be custodian of all <br />Community organization records. The secretary shall also perform all duties <br />incident to the office of secretary and such other duties as from time to time may <br />be assigned to him or her by the president or board of directors. <br />7.3. Treasurer. The treasurer shall have charge of, and be responsible for, all funds <br />of the Community Organization. The treasurer shall also perform all duties inci- <br />dent to the office of treasurer and such other duties as from time to time may be <br />assigned to him or her by the president or board of directors. <br />7.7. Vacancies. A vacancy in any office because of death, resignation, removal, <br />disqualification, or otherwise, may be filled by the board of directors for the <br />unexpired portion of the term. <br />7.3. Resignation and Removal. An officer may resign at any time by delivering writ- <br />ten notice to the Community Organization. An officer may be removed by the <br />members of the Community Organization by two - thirds of a majority vote when - <br />ever in their judgment the best interests of the Community organization will be <br />served thereby. <br />ARTICLE VIII - COMMITTEES <br />The board of directors may, by resolution adopted by a majority of the directors present <br />at a meeting which a quorum is present, designate and appoint one.or more commit- <br />tees, each of which shall consist of two (2) or more directors, to assist the board of <br />directors in the management of the affairs of the Community organization. The provi- <br />sions of Article VI of these Bylaws governing meetings, action without a meeting, <br />notice and waiver of notice, and quorum and manner of actin g of the board of direc- <br />tors, shall apply to committees and their members as well. Each committee shall only <br />exercise such authority of the board of directors that is expressly delegated to the <br />committee by resolution of the board of directors, and a committee shall not have <br />authority to take any action prohibited by ORS 65.354 or successor law. <br />N <br />
