directors present may adjourn the meeting from time to time without further <br />notice. The act of a majority of the directors present at a meeting at which a <br />quorum is present shall be the act of the board of directors, unless the act of a <br />greater number is required by law or by these Bylaws. Any action that may be <br />taken at a meeting of the directors may be taken without a meeting if a consent <br />in writing, setting forth the action taken, shall be signed by all of the directors. <br />8.7. Vacancies. Any vacancy occurring in the board of directors, and any director- <br />ship to be filled by reason of the increase in the number of directors, shall be <br />filled either by affirmative vote by a majority of the members at the next <br />annual, semi - annual, or special meeting of members (whichever is first to <br />occur), or by affirmative vote of a majority though less than a quorum of the <br />remaining board of directors subject to approval by the members <br />at the next meeting of members. A director elected to fill a vacancy shall be <br />elected for the unexpired term of his or her predecessor in office. <br />8.8. Resignation and Removal. A director may resign at any time by delivering writ - <br />ten notice to the Community Organization. All or any number of directors may <br />be removed, with or without cause, at a meeting called expressly for that pur- <br />pose, by a vote of a majority of the voting members entitled to vote at an election <br />of directors. <br />8.9. Meeting by Telephone or Other Means of communication. The board of direc- <br />tors may permit any or all directors to participate in a regular or special meeting <br />by, or conduct the meeting through, use of any means of communication by <br />which all directors participating may simultaneously hear each other during the <br />meeting. A director participating in a meeting by this means is deemed to be <br />present in person at the meeting. <br />ARTICLE VII - OFFICERS <br />7.1. Officers. The officers of the community organization shall be a president, vice <br />president, secretary, and treasurer. <br />7.2. Qualifications and Method of Election. Each officer shall be an individual, but <br />need not be a member if acting as a qualified representative of a member. <br />.Each officer shall be elected annually by the membership at the annual meetin <br />of the membership. Each officer shall hold office until his or her successor shall <br />have been duly elected, or until his or her death, resignation, or removal. An <br />officer may serve concurrent terms. The officers shall be members of the board <br />of directors. <br />7.3. president. The president shall preside at all meetings of the Communit <br />Organization and of the board of directors at which he or she is present and <br />shall exercise general supervision of the affairs and activities of the Community <br />r� <br />
