indemnification shall survive the termination or cancellation of this agreement. <br /> <br />12. Damage and Restoration. <br /> <br /> 12.1 Except as provided in subsection 12.2, if the Premises are damaged by fire or other cause <br /> that would be covered by a standard fire insurance policy with an endorsement for extended <br /> coverage, City shall promptly repair the damage and restore the improvement. Repair shall be <br /> accomplished with all reasonable dispatch, subject to interruptions and delays from labor disputes and <br /> other causes beyond City's reasonable control. <br /> <br /> 12.2 If the Premises are damaged such that the cost of restoration is reasonably estimated by City <br /> to equal or exceed 50% of the value of the Premises prior to the occurrence of the damages, then the <br /> parties agree to proceed as follows: <br /> <br /> A. City may elect to terminate this lease by written notice to Lessee, given not more than 30 <br /> days following the date of damage. <br /> <br /> B. Absent such an election, City shall proceed to restore the improvements. The completed <br /> repair, restoration or replacement shall be equal in value, quality and use to the condition of the <br /> improvement immediately before the damage. Repair shall be accomplished with all reasonable <br /> dispatch, subject to interruptions and delays from labor disputes and other causes beyond City's <br /> reasonable control. <br /> <br /> C. Lessee shall not be entitled to any abatement of rent on account of any damage or <br /> destruction of improvements on the property, nor shall any other obligations of Lessee under this <br /> lease be altered or terminated except as specifically provided to the contrary. <br /> <br />13. Insurance. Lessee shall obtain and maintain continuously in effect at all times during the term of this <br />lease, at its sole expense, the following insurance: <br /> <br /> 13.1 Comprehensive General Liability Insurance. Lessee shall maintain a comprehensive <br /> general liability insurance policy, including premises liability, auto and personal injury, with a <br /> combined single limit coverage of not less than $1,000,000 If available, such policy shall contain a <br /> contractual liability endorsement to cover Lessee's indemnification obligations under this lease. The <br /> liability policy shall contain a "tenant's legal liability" endorsement. <br /> <br /> 13.2 Property Insurance. Lessee may insure all of its personal property located on the Premises. <br /> City shall not be liable for any loss of or damage to personal property of Lessee or Lessee's <br /> employees, officers, invitees or licensees. <br /> <br /> 13.3 Policy Requirements. The insurance policies specified in this section 13 shall be approved <br /> as to form and surety by City and shall bear endorsement entitling City to at least 30 days' prior <br /> written notice of any material change, non-renewal or cancellation. A copy of all such policies, or <br /> certificates thereof, reasonably satisfactory to City, shall be delivered to City within 30 days of signing <br /> this agreement. All policies required by these provisions shall be written as primary policies, not <br /> contributing with or in excess of any coverage City may have, and shall have loss payable clauses in <br /> favor of and reasonably satisfactory to City. <br /> <br />2006-03803 <br />Kaufman Senior Center Lease Page 6 <br /> <br /> <br />
