<br />Section 3. If a member wishes to abstain in a situation where there is no <br />direct pecuniary conflict of interest but where the public might construe <br />that such a conflict exists) or if a member has a conflict deriving from <br />his/her relatonship with the person involved, then he/she may ask the com- <br />mittee whether he/she may abstain. If the committee says IIno," he/she must <br />vote. This provision is intended to relate to close relatives and to pro- <br />fessional relationships, as well as to friendships. <br /> <br />Section 4. Any time a member present at a meeting does not record his or <br />her vote, it is automatically recorded as a vote with the majority; an ab- <br />stention must be entered as such in the minutes, with the reasons recorded. <br /> <br />ARTICLE 3. COMMITTEE MEETINGS <br /> <br />Section 1. Regular committee meetings shall be held at times and places <br />agreed to by a majority of committee members. Special meetings may be called <br />by the chairperson and held at times specified in advance in accordance with <br />open meeting law and city code requirements. <br /> <br />Section 2. Four members of the committee shall constitute a'quoram at a com- <br />mittee meeting. If a quorum is present, the affirmative vote of the majority <br />of the members present at the meeting and entitled to vote on the subject <br />matter, shall be the act of the committee. The members present at a duly <br />organized meeting may continue to transact business until adjournment, not- <br />withstanding the withdrawal or abstention of enough members to leave less <br />than a quorum. Study sessions may be conducted without a quorum with the <br />understanding that no official action of the commitee would be taken at the <br />study session. <br /> <br />Section 3. If a committee member is unable to attend a meeting, that member <br />is expected to notify the chairperson or staff of the Parks and Recreation <br />Department. <br /> <br />Section 4. The commitee has an obligation to be as clear and simple in its <br />procedure as possible, and therefore should avoid, in voting, the finer points <br />of parliamentary rules which may serve only to obscure the issues. <br /> <br />ARTICLE 4. OFFICERS' DUTIES AND TERMS OF OFFICE <br /> <br />Section 1. The officers of the committee shall be the chairperson and vice- . <br />chairperson. Both shall be elected by a majority of the committee. <br /> <br />Section 2. The chairperson's duties shall be as follows: <br /> <br />a. Conduct committee meetings; <br />b. Maintain contact with the Parks and Recreation Department director <br />between m~etings; and <br />c. Conduct correspondence on behalf of the committee. <br /> <br />Section 3. The vice-chairperson's dutiei shall be as follows: <br /> <br />a. Conduct committee meetings when the chairperson is absent; <br />b. Fulfill other duties of the chairperson when the chairperson <br />requests the vice-chairperson to do so; and <br />c. Assume the unexpired term of. the chairperson should it become <br />vacant. <br />
